These Terms of Service (“Terms”) govern your use of Havyn Pro (the “Service”), operated by Daedelix Inc. (“Havyn,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Havyn Pro is an AI-assisted marketplace and coordination platform that connects property managers and owners (“Requesters”) with independent maintenance and trade professionals (“Pros”). Havyn helps describe, route, schedule, and coordinate maintenance jobs and facilitates related payments. Havyn is a facilitator; it does not itself perform maintenance work.
2. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- You are responsible for all activity that occurs under your account.
3. Independent professionals
Pros are independent contractors, not employees or agents of Havyn. Havyn does not supervise, direct, or control a Pro’s work and does not guarantee the quality, safety, timing, legality, or outcome of any job. Any agreement for services is between the Requester and the Pro. You are responsible for verifying licensing, insurance, and suitability where relevant.
4. Payments & fees
- Payments are processed through Stripe. By transacting, you agree to Stripe’s terms.
- Havyn may charge a service fee (take-rate) on completed jobs; applicable fees are disclosed in the Service.
- Funds may be authorized, held, and released in connection with job completion. Refunds and disputes are handled as described in the Service.
5. Acceptable use
You agree not to misuse the Service, including by: violating any law; posting false, infringing, or harmful content; attempting to circumvent fees; interfering with the Service’s operation or security; or using the Service to harass or defraud others.
6. Your content
You retain ownership of content you submit. You grant Havyn a limited license to use, host, and process that content as needed to operate and improve the Service. You are responsible for the content you provide.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Havyn does not warrant that the Service will be uninterrupted, error-free, or that job matches will meet your expectations.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAVYN AND DAEDELIX INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO HAVYN IN THE THREE MONTHS BEFORE THE CLAIM OR (B) US $100.
9. Indemnification
You agree to indemnify and hold harmless Havyn and Daedelix Inc. from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for any violation of these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.
11. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes will be subject to the courts located in San Diego County, California, unless otherwise required by law.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by additional notice within the Service. Continued use after changes take effect constitutes acceptance.
